DIRECTORS\u2019 AND EXECUTIVES\u2019 REMUNERATION<\/h4>

The Company has a policy to provide remuneration to directors and executives at an appropriate level, based on the principles of fairness to both the Company and individuals. The remuneration takes into consideration the Company\u2019s performance and alignment with businesses and companies within the same industry, while providing appropriate incentives for performance and maintaining high standards. The remuneration is also commensurate with the duties and responsibilities of each director and executive. The remuneration of the Company\u2019s directors, including independent directors and Audit Committee members, must be approved by the Company\u2019s shareholders\u2019 meeting by a vote of not less than two-thirds of the total votes of shareholders attending the meeting.

With respect to the remuneration of the Chief Executive Officer, the Board of Directors is responsible for reviewing and approving the criteria for performance evaluation and annual remuneration, as well as considering and approving the Chief Executive Officer\u2019s annual remuneration on an annual basis. Such remuneration is linked to the Company\u2019s performance and is intended to recognize the Chief Executive Officer\u2019s contributions to the Company in accordance with the objectives and responsibilities assigned by the Board of Directors. The performance evaluation criteria are based on key performance indicators covering both financial performance and other sustainability-related indicators. These include enhancing corporate governance to comprehensively cover all relevant dimensions in accordance with standards established by the Thai Institute of Directors, strengthening employee engagement to foster a greater sense of ownership and participation within the organization (Employee Engagement \u2013 Social Dimension), and reducing greenhouse gas emissions under Scope 1 (Environmental Dimension). These indicators are designed to support the Company\u2019s sustainable growth in line with its long-term objectives.<\/h5>

For senior executives (C-Level), remuneration is subject to approval by the Chief Executive Officer and is determined based on indicators linked to the Company\u2019s financial performance, together with performance assessments in other areas that are critical to the organization\u2019s growth and sustainability. This approach is intended to ensure that remuneration reflects effective performance and is aligned with shareholders\u2019 interests and the Company\u2019s long-term growth. The Company exercises prudence in determining executive remuneration to ensure that it remains at an appropriate level and is competitive within the same business sector, in order to attract and retain qualified executives.
